Proposed Restated Bylaws


Dear Stonegate Members:

For the past several years, the Stonegate Board of Directors has been working with a law firm to redraft Stonegate’s two primary governing documents, the Association CC&Rs and the Association Bylaws.

The Association’s current governing documents were approved over 25 years ago, and since then many state laws governing California homeowner associations have changed. Long outdated governing documents can create significant problems and confusion for an association, because any subsequently enacted state law that conflicts with a governing document provision will generally render the governing document provision invalid. 

A major part of the proposed revision of the governing documents was therefore to reconcile each governing document with all changes in state law since 2000. In addition, based on work done at multiple Board meetings over close to two years, the Board has attempted to identify any other revisions that would reflect changed membership preferences since 2000 relating to Stonegate governance.

Ultimately, adoption of these new governing documents will require a formal vote of approval from a majority of the membership, using a ballot similar to the ballot used to elect members of the Board. However, before we distribute these ballots, the Board first wants to provide all members an adequate opportunity to review the proposed new documents, as well to ask any questions about the documents any member may have.

 
To enable this review, the proposed new governing documents have been posted on the Association’s website, at StonegateCC.com. If you would prefer to review a paper copy of the proposed new governing documents, please contact the Club Manager to arrange pick up of a paper copy.

In addition, to provide all members an opportunity to ask any questions they have about any aspect of the documents, Stonegate will be holding a “Town Hall” meeting for that purpose, on Monday, July 6, 2026 at Stonegate and via Zoom.
